PLEASE READ THIS DOCUMENT CAREFULLY. BY USING EASSYLIFE PARTNER APP AND WWW.EASSYLIFE.COM, YOU INDICATE THAT YOU HAVE READ, UNDERSTOOD, AGREED, AND CONSENTED TO THE TERMS AND CONDITIONS OF THIS SERVICE PROVIDER AGREEMENT (“AGREEMENT”). IF YOU DO NOT AGREE WITH THE TERMS OF THIS DOCUMENT, PLEASE DO NOT USE THIS PLATFORM.
This Agreement is in accordance with the provisions of Rule 3(1) of the Information Technology (Guidelines for Intermediaries and Digital Media Ethics Code) Rules, 2021.
The Privacy Policy available at (https://eassylife.com/privacy-and-policy/provider) and Service Policies & Service Provider Code of Conduct available at (https://eassylife.com/terms-and-condition/provider) are incorporated in this Agreement by way of reference and constitutes part of the binding Agreement.
- BACKGROUND
EISPL shall act as the Service Provider’s aggregator for the Service Provider using EISPL’s website www.eassylife.com ("Website") (including any other media form, media channel, mobile website, or mobile application related or connected thereto) or the Eassylife Mobile Application (“App”) (the Website and App are hereafter collectively referred to as the “Platform”) for promoting, offering and providing their various services in relation to the sale of its services as agreed under the Service Provider Agreement, and the use of the emarket place for enabling promotion / advertisement of their “Services”.
- SERVICES
2.1 The Service Provider shall create an account and register its Services on the Platform for the purpose of listing/advertisement/promotion/display of the Services offered by the Service Provider to the users who visit the Platform to solicit and/or book the services.
2.2 Based on market analysis conducted, EISPL may make recommendations to the Service Provider from time to time on the specific Services that are to be displayed, advertised and offered by the Service Provider through the Platform. The Service Provider shall make its final decision on the Services to be displayed on the Platform on the basis of such recommendations. Notwithstanding the foregoing, EISPL has the right to refuse to display, or withdraw from the Platform, any services listed/advertised.
2.3 The Service Provider shall exclusively offer, display, advertise certain Services, as specifically agreed in this Agreement, through the Platform only (“Specified Service Lines”). The Service Provider shall not, in respect of the Specified Service Lines, seek, accept from or appoint any other entity to provide any services similar to the Specified Service Lines without first obtaining the prior written approval of EISPL.
- Registration/use of Services
3.1 Upon creation of an account with the Platform, the Service Provider confirms that the details which have been entered are accurate, complete and truthful. The Service Provider undertakes to keep the information provided in the registration form up to date. If such information is found to be false, incorrect or out of date, EISPL may block or discontinue the Service Provider’s access to the Platform.
3.2 The Service Provider undertakes that the information provided by it to EISPL in relation to the Service Provider’s educational qualification, duration of experience, licenses and registrations (if any), identity cards (applicable only for individuals), is true, complete, and accurate.
3.3 The Service Provider also gives an unconditional undertaking that any information provided by it to EISPL after the date of this Agreement shall be true, complete and accurate.
3.4 Upon successfully completing the registration process, the mobile number provided by the Service Provider must be verified. To this end, an OTP will be sent to the mobile number provided, which the Service Provider shall enter on the application / sign-up page. After registration has been validated, the Service Provider’s account will be activated and he/she will be able to use EISPL services.
3.5 The Service Provider is personally responsible for keeping the login data (login identification and password) private. Should an unauthorized third party gain knowledge of the Service Provider’s data, EISPL must be notified immediately.
3.6 The Service Provider shall not be entitled to demand any authorisation to use EISPLs services. EISPL has the right to change or even discontinue the operation of its services at any time.
- SERVICES TO BE PROVIDED BY EISPL
EISPL shall carry out the following functions for and on behalf of the Service Provider for consideration as agreed under this Agreement.
4.1 Facilitation of Sale of Services through the Portal:
(a) The Service Provider authorizes EISPL to, on behalf of the Service Provider, provide to Customers / users of the Platform owned by EISPL and operated as an online marketplace for the display, advertising and sale of services by various Service Providers to the end customers (“Customers”) and provides following related services to the Service Providers and to the Customers / users of the Platform on behalf of the Service Providers (as the Service Provider’s service provider):
(i) Provide information and assistance in relation to the listed services and sales thereof; and
(ii) Provide information and updates in relation to status of the 3 order placed by Customers;
(b) Prior to the advertising of the Service Provider’s Services on the Platform, EISPL may carry out a quality assessment based upon relevant quality parameters.
(c) Where, the quality is not upto the satisfactory level of EISPL, EISPL may require the Service Provider to take up vocational guidance and training to upgrade their skills through specialised vocational and training workshops, camps, programs available on EassySkill Portal, a skills training marketplace or any other skills training program.
(d) The Service Provider authorizes EISPL to place:
(i) a description of the Service Provider;
(ii) description of each of its services on the Platform;
(iii) Service Provider rating based on Service Provider performance and customer reviews.
(e) You have the option of listing more than one service (eg. Home Maintenance services and salon services) using a single registered account. However if you want to list each service (eg. Home Maintenance services and salon services) using a distinct account (for each service) then you must register yourself with a unique mobile number for each such account. (f) The Service Provider authorizes and acknowledges that EISPL may offer discounts on the Platform as per seasonal demands each year. Such discounts may be borne by the Service Provider as per mutually agreed terms between EISPL and the Service Provider. (g) The Service Provider authorizes EISPL to offer certain discounts during the year (other than seasonal discounts) wherein the discount percentage and sharing ratio shall be decided mutually between the Service Provider and EISPL from time to time in writing.
4.2 Advertising
EISPL shall advertise / display, on behalf of the Service Provider, the Service Provider Services on the Platform based on the preference opted for by the Service Provider.
4.3 Ordering and Delivery
(a) The Platform will enable Customers to place orders for the Services they wish to purchase on the Website or App.
(b) Upon receiving the confirmation of the order by the Customer, EISPL will update the details of the confirmation of the order on the internal portal which EISPL shall maintain for the Service Provider.
(c) The Service Provider hereby irrevocably confirms that upon receiving the confirmation of the order by the Customer in respect of any Service, the Service Provider shall be responsible to attend to and complete the service within the provided or prescribed timeslot.
(d) The Service Provider shall ensure to provide all relevant authorisations in favour of EISPL to enable EISPL to confirm the order (placed by a Customer) on behalf of the Service Provider.
(e) The Service Provider shall also provide such other details of the service to be performed as may be reasonably required or specifically instructed.
(f) For the avoidance of doubt, it is hereby clarified and the Parties agree that by EISPL specifying the details of the service to be performed (on behalf of the Service Provider) on the Platform, EISPL shall not assume any liability or responsibility for such service or any matter in connection therewith.
(g) EISPL shall take all commercially reasonable steps to keep the Customer informed of any delays which may take place in the delivery of the service.
(h) EISPL may at its sole discretion temporarily or permanently suspend the Service Provider account for a duration upto 15 calendar days or more if the Service Provider rejects 3 booking requests in a block of 7 days from the same or different customer, or if the Service Provider gets 3 penalties (as detailed in the table under Clause 4.4 below) in a block of 7 days, or if the Service Provider does not take any action (i.e. it neither accepts nor rejects the booking request placed by the customer) on 3 booking requests in a block of 7 days.
(i) The penalty charges set out below will apply from 1st January 2022.

4.5 Invoicing
The Service provider authorizes EISPL to generate and issue an electronic invoice/ Tax invoice etc for the services availed by the customers from the Platform on behalf of the Service Providers, which will include (but shall not be limited to) value of the services, GST No of the Service Provider, commissions and any applicable taxes.
The Service Provider shall solely bear and be responsible and liable for the payment of all relevant taxes in relation to the payments made under this Agreement and EISPL shall not be responsible for any default of any statutory non compliances under applicable law.
- PAYMENT TERMS
5.1 The Customers shall be given the choice to make payments for booking the service by way of online payments, cash on delivery or any other legal methods of payment as may be available on Platform from time to time.
5.2 The Service Provider shall have access to his Service Provider account where he/she 6 can monitor periodic records of his/her service activities, income, booking, cancellations and pending bookings / service orders.
5.3 It is hereby clarified that EISPL shall not be required to provide any other information (including any confidential information or any information about the Customers) to the Service Provider vide such records or otherwise and any such information shall be the proprietary information of EISPL.
5.4 EISPL shall follow weekly billing cycle of Monday 00:00 hours to Sunday 23:59 hours for all services successfully completed by the Service Provider. The payment to the Service Provider for services rendered and completed in the said billing cycle shall be made on the following Thursday (or on the next business day if the scheduled payment date falls on a non-business day) subject to adjustments, penalties, taxations or any other reconciliations as may be required under the EISPL policies and applicable laws which include:
5.4.1 EISPL’s Commission on the services sold and delivered to the Customers.
5.4.2 any other costs and taxes incurred by EISPL in relation to provision of other Services, including without limitation to any adjustments for any cancellation or replacement of Service Provider demanded by the Customers within three (3) months from the date of original service provided by the Service Provider to the Customer; and
5.4.3 all other amounts due and payable by the Service Provider to EISPL in accordance with applicable policies and this Service Provider Agreement.
5.5 EISPL will charge a fee of Rs.50 per transaction / order completed by the Service Provider or any other terms as mutually agreed between EISPL and the Service Provider and an amount of 3.5% transaction charges (to cover costs of payment gateway and other incidental costs) of the total invoice value.
- LICENSE TO MAKE USE OF INTELLECTUAL PROPERTY
6.1 The Service Provider hereby grants to EISPL for the Term a royalty free irrevocable limited license to use the: logos, trade names, brand names, trademarks, copyrights and other relevant intellectual property rights relevant to the advertisement and offering of the applicable Services by the Service Provider (“Intellectual Property”) for the purposes of providing the Services on the Platform.
6.2 The Service Provider shall at all material times make available to EISPL, its certificate, accreditations, licenses and such other professional documents to which the Service Provider has exclusive authority or propriety, evidencing its knowledge, qualification and experience, expertise in proving the required customer services. In the event EISPL receives a claim and/or notice from any third party alleging infringement of its intellectual property rights, EISPL shall forward such claim to the Service Provider and the Service Provider shall be liable to defend such claims and keep EISPL harmless and indemnified against the same. EISPL may also provide all necessary information regarding the Service Provider to any such third party from whom a genuine claim has been received by EISPL and the Service Provider shall have no objection to the same. 7 EISPL may further take any other appropriate legal action against the Service Provider, as it may deem fit, in this regard.
6.3 Notwithstanding anything to the contrary contained herein, it is clarified and agreed that any and all liabilities arising in connection with any defect, fault or shortcoming in the services shall be of the Service Provider alone and this provision shall survive the termination of the Agreement.
- OBLIGATIONS OF THE SERVICE PROVIDER
7.1 The Service Provider shall perform the Service within the designated time slot or such other time slot as has been mutually agreed between the Service Provider and the Customer.
7.2 The Service Provider shall perform the Service in a manner which serves the requirement of the Customer.
7.3 The Service Provider shall be responsible for all post services complaints or warranty from the Customers and shall keep EISPL fully indemnified in this regard.
7.4 All the orders received through the Platform, the Service Provider shall pay a commission to EIPSL upon completion of each of such service order.
7.5 The Service Provider agrees and undertakes to fully co-operate with EISPL for performance and completion of services order whereof is booked by the Customer and accepted by EISPL and on behalf of the Service Provider.
7.6 The Service Provider shall be solely liable for any loss/injury/damage caused to a customer (or their property) as a consequence of the Service Provider providing its service.
7.7 The Service Provider undertakes to fully indemnify EISPL for any liabilities/ actions / claims instituted against EISPL pursuant to the Service Provider providing its service to a consumer/user who has availed of the services of the Service Provider through the Platform.
7.8 The Service Provider shall not host, display, upload, modify, publish, transmit, update or share any information that:
(a) belongs to another person and to which the user does not have any right to;
(b) which is grossly harmful, harassing, blasphemous; defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
(c) harm minors in any way;
(d) infringes any patent, trademark, copyright or other proprietary rights;
(e) violates any law for the time being in force;
(f) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in 8 nature;
(g) impersonate another person;
(h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
(i) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation;
(j) is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.
- OBLIGATION OF EISPL
8.1 EISPL shall take reasonable steps to specify for Customer awareness on the Portal, the post service complaint or warranty period and terms of such complaint warranty as communicated to it by the Service Provider in relation to the Services displayed on the Portal.
8.2 EISPL shall maintain proper and valid registration of its domain name in relation to the Website during the Term at its own costs.
- CONFIDENTIALITY
The Parties shall keep all negotiations confidential and maintain the contents of this Agreement in strict confidence and shall make no announcement or disclosure without the prior written approval of the other Party save in respect of (i) disclosures necessary to be made to each Party’s consultants, advisors, employees / directors on a need-to-know basis and provided that such third parties are bound by obligations of confidentiality; and (ii) disclosures required by law.
- TERMINATION
10.1 These Terms & Conditions shall become effective from the date of execution and shall remain in force unless the Agreement is terminated between the Parties in accordance with the terms hereof (“Term”).
10.2 The Agreement may be terminated by either Party in accordance with the following:
(a) Upon material breach of this Agreement which is not cured within thirty (30) days of receipt of notification from the non- breaching Party, then, the nonbreaching Party shall be free to terminate the Party which has committed the breach on the expiry from the 30th day;
(b) Where any Party commits a material breach of the Terms & Conditions and in the reasonable opinion of the non-breaching Party, such breach is not capable of cure, the non-breaching Party shall not be obliged to provide a chance to cure the breach but shall be entitled to terminate the Agreement forthwith.
(c) Either Party may terminate the Agreement upon one month’s prior notice in writing if (a) the other Party is adjudged bankrupt, or makes a general assignment for the benefit of its creditors, or (b) if a receiver is appointed for all or a substantial portion of its assets and is not discharged within sixty (60) days after his appointment; or (c) such Party commences any proceeding for relief from its creditors in any court under any insolvency statutes; or (d) such party is rendered legally incapable of performing their obligations under this Agreement.
(d) EISPL may terminate the Agreement by giving a 1 (one) month’s notice in writing to the Service Provider.
(e) Consequences of Expiry/Termination: Upon termination of the Agreement:
- EISPL shall be entitled to remove the details of the Service Provider displayed on the Platform.
- All orders in relation to the services of the Service Provider that have been received prior to the termination of the Agreement and all obligations to either complete the service and/or refund the amount paid by the Customer which may arise in the period after the date of termination hereof, shall be honoured and completed, notwithstanding any termination hereof, in accordance with the terms of this Agreement and the Service Provider agrees and undertakes to co-operate with EISPL for the same.
iii. The Service Provider shall forthwith without delay or demur make payment of all outstanding amounts that are due to EISPL under the Agreement, including any amount refunded by EISPL to the Customer after the termination, which shall be paid by the Service Provider to EISPL immediately upon receipt of any demand from EISPL in this regard.
- EISPL shall within 30 (thirty) days of the date of termination, make payment of all outstanding amounts that are due to the Service Provider in accordance with the terms of this Agreement and concurrently the Service Provider shall submit to EISPL a “No Dues Certificate”, to the satisfaction of EISPL. v. The rights and obligations of the Parties which have arisen hereunder up to the time of termination shall not be affected.
- INTELLECTUAL PROPERTY RIGHTS
11.1 Subject to the agreements executed by EISPL with its business associates, EISPL shall own all rights in any intellectual property created by EISPL under this Agreement including material, designs, graphics created and / or developed by EISPL.
11.2 Subject to the provision of contained herein, EISPL owns and shall exclusively own all rights (including all intellectual property rights), title and interest in respect of the Platform. 10
- INDEMNITY
Each Party (the “Indemnifying Party”) shall promptly on demand indemnify and hold harmless the other Party and the other Party’s officers, directors, employees and agents ( collectively, the “Indemnified Party”) for and against all liabilities, costs and expenses (including reasonable attorney’s fees) incurred or suffered, or to be incurred or suffered, by the Indemnified Party that arise out of or in any way relate to, or result from any breach by the Indemnifying Party of any of the provisions of this Agreement (including, without limitation, any of the representations or warranties of the Indemnifying Party set forth herein), or negligence, fraud or willful misconduct of Indemnifying Party, or any claim, demand, suit, action or proceeding brought by a third party that involves, relates to or concerns a violation or other breach by the Indemnifying Party of any of the provisions of the Agreement . The Indemnified Party shall give prompt notice to the Indemnifying Party of the existence and specifics of any such claims.
- PASSWORD SECURITY
The Service Provider password may be used only during the Term to access Service Provider Account (or other tools provided by EISPL) to use the Service, electronically accept Service Provider transactions, and review Service Provider completed transactions. The Service Provider is solely responsible for maintaining the security of its password and may not disclose its password to any third party (other than third parties authorized by him/her to use its Account in accordance with this Agreement) and are solely responsible for any use of or action taken under his/her instructions. If Service Provider password is compromised, he/she must immediately change the password.
- LIMITATION OF LIABILITY
In no event shall either Party be liable to the other Party for any incidental, indirect, remote special, consequential or punitive damages, loss of goodwill or business profits, regardless of the nature of the claim, even if such Party knew or should have known of the possibility of such damages or claims. EISPL’s total liability (including for its indemnity obligations), whether in contract, tort, or otherwise, arising out of or in connection with the Agreement shall not exceed the total commission received by EISPL in the preceding 6 months under the Agreement.
- GENERAL CLAUSES
15.1 This Agreement together with the code of conduct and privacy policy is the complete and binding agreement of the Parties with respect to the subject matter hereof.
15.2 This Agreement is applicable for all service providers and may be modified by EISPL from time to time with prior intimation to the Service Provider. The Service Provider hereby agrees to be bound by such amended agreement, as may be notified by EISPL.
15.3 The Service Provider shall not assign or sub-contract any of its rights, obligations, or 11 responsibilities under the Agreement without the prior written consent of EISPL.
15.4 The Parties agree that, having regard to all the circumstances, the covenants contained herein are reasonable and necessary for the protection of the Parties. If any such covenant is held to be void as going beyond what is reasonable in all the circumstances but would be valid if amended as to scope or duration or both, the covenant shall apply with such minimum modifications regarding its scope and duration as may be necessary to make it valid and effective.
15.5 If any provision of this Agreement is held to be invalid or unenforceable in any respect, such provision shall be modified to the extent necessary to render it, as modified, valid and enforceable under applicable laws and such invalidity or unenforceability shall not affect the other provisions contained herein
15.6 Except as expressly provided in this Agreement, no waiver of any provision shall be effective unless set forth in a written instrument signed by the Party waiving such provision. No failure or delay by a Party in exercising any right, power or remedy under this Agreement.
15.7 Each Party shall co-operate with the other Party and execute and deliver to the other Party such instruments and documents and take such other actions as may be reasonably requested from time to time in order to carry out, evidence and confirm their rights hereunder and the intended purpose of this Agreement.
- GOVERNING LAW AND JURISDICTION
This Agreement shall be read and construed in accordance with the laws of India. All disputes arising out of or in relation to this Agreement shall be subject to the exclusive jurisdiction of courts at Mumbai, India.
- ARBITRATION
17.1 Any and all disputes, claims or differences arising out of or in connection with this Agreement, including but not limited to any question regarding the existence or validity of this agreement, shall be referred to and finally resolved by a sole arbitrator to be appointed by EISPL.
17.2 The arbitration shall be conducted in accordance with the provisions of Arbitration and Conciliation Act, 1996 for the time being in force.
17.3 The seat and venue of the arbitration shall be Mumbai, provided however that the hearings may be held at any other place with the written consent of both Parties.
17.4 The language of the arbitration shall be English. 17.5 All matters in connection with the arbitration proceedings shall be subject to the exclusive jurisdiction of the Courts of Mumbai.
- Waiver
The failure of EISPL to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by EISPL
Terms & Conditions for Service Partners for HOLI DHAMAKA
- Profile:
1.1 Eassy Serve : Eassy Innovative Services Pvt Ltd, a company having its corporate office at 3rd Floor, WeWork Chromium, Jogeshwari - Vikhroli Link Rd, Andheri East, Mumbai, Maharashtra 400076. (Hereinafter referred as “EISPL”,
1.2 Service Provider participating in the Holi Dhamaka Offer (‘Hereinafter referred as ‘SP’)
- Objective
EISPL owns & operates Eassylife (mobile app and website) - an ecommerce marketplace offering services, where customers can choose any service & can select a SP on the basis of location, price, ratings & availability.
EISPL intend to offer an incentive to selected SPs for joint promotion on the occasion of Holi as HOLI DHAMAKA.
- Scope of SP:
2.1 In order to promote the EISPL services; SP shall take all efforts so that its customers process the transactions through Eassylife.
2.2 SP will manage its customer;
2.2.1 Advise its customer to book the services through Eassylife;
2.2.2 Customer will pay on Eassylife.
2.2.3 SP shall complete the service.
2.2.4 Invoice to a customer will be generated on Eassylife.
2.2.5 EISPL shall pay to SP for each of the completed services as per standard terms, as agreed and accepted by SP on Eassylife.
2.2 Transactions will be monitored based on the QR code scanned shared to SP. QR code is shared separately.
- Basis of Incentive:
EISPL shall pay an incentive amount to SP on successful completion of the transaction (all steps as per Para 2.2 as above).
- Promotion Period:
Promotion period shall be between 0001 HRS 1ST Mar 2022 to 2359 HRS 31st March 2022. (‘Promotion Period’).
- Incentive Amount
EISPL will pay Rs. 100/- (Rupees one hundred only) on each successful transaction during Promotion Period.
- Reconciliation and Audit of numbers of Transactions:
Number of successful transactions shall be reconciled between SP and EISPL records. Reconciled numbers shall be Audited before payments.
- Payment Terms:
- Payment of incentive shall after completion of the Audit.
- Incentive amount is inclusive of all Taxes. Incentive shall be paid subject the applicable Tax laws.
- Withdrawal or Termination of Incentive Scheme:
EISPL reserve the right to withdraw or terminate the Incentive Scheme any time during the Promotion and at its sole discretion of EISPL.
- Representations:
SP will defend, indemnify, and hold harmless, EISPL from its Client and their respective employees, directors and representatives and against any and all claims, costs, losses, damages, judgments, penalties, interest and expenses arising out of or in connection with a breach of any of the representations, warranties, covenants to third parties.
- Jurisdiction
This Agreement shall be subject to the Laws of India and subject to Arbitration. The Disputing Parties shall submit to the Arbitration having exclusive jurisdiction of the courts in Mumbai.
